Tata Motors Limited has raised its offer price for acquiring Italian truckmaker Iveco Group NV. The company has increased the per-share price by EUR 0.30 to EUR 14.40. According to the company, the step was taken because of delays in obtaining regulatory approvals.
Tata Motors had announced the plan to acquire Iveco's business through its subsidiary TML CV Holdings Private Limited. The Iveco defence division is not included. The deal was valued at EUR 3.8 billion, or about Rs 38,240 crore.
Earlier, the commercial vehicle major had offered EUR 14.10 per share for Iveco, which put the value of the deal at EUR 3.82 billion. In September, Tata Motors made a voluntary, all-cash tender offer to buy all the existing ordinary shares of Iveco. The acceptance period for the offer runs from September 7 to October 26, 2026.
Iveco Group shareholders will attend an extraordinary general meeting on October 16 to vote on the proposals. Iveco's board of directors has unanimously backed the deal.
In a filing to the stock exchanges on Friday, Tata Motors said the earlier offer price reflected a fair and full valuation of Iveco. However, the process of obtaining the necessary prior approvals is taking longer than initially estimated. This is why the company decided to raise the offer price.
The company also said the revised offer price is 33.47 per cent higher than the price of Iveco's share on July 17, 2025.
