Tata Motors' plan to take over Iveco has received a major boost. Shareholders of the Italian commercial vehicle maker approved the resolutions linked to the deal at a special meeting held on October 16, 2026. This makes it easier for Tata Motors to acquire Iveco and take the company off the stock market.

The meeting was an extraordinary general meeting held in Amsterdam, the Netherlands. Shareholders agreed to key changes linked to the Tata Motors proposal. The biggest change is that the acceptance threshold of shares needed to complete the deal has been lowered from 95 per cent to 80 per cent.

This means that if Tata Motors secures the required acceptances for 80 per cent of Iveco's shares, it may be easier to take the deal forward, subject to the remaining conditions being met. It could open the way to changes in the company's future structure and to delisting Iveco from the stock market.

Tata Motors has raised its offer for each Iveco share to EUR 14.40. The offer was earlier EUR 14.10 per share. According to reports, the total value of the deal is about EUR 3.91 billion.

The increase could matter to shareholders. The deadline to accept the Tata Motors offer is October 26, 2026. If the period is extended, the final date could change. For the deal to be completed, the relevant conditions and required procedures must be fulfilled.

Iveco is a major company in the commercial vehicle sector. Its portfolio includes trucks, buses, powertrains and vehicle-related financial services. The company employs about 33,000 people and has 16 industrial centres and 22 research and development centres.

Acquiring Iveco could give Tata Motors a chance to strengthen its presence in the global commercial vehicle market. The company could benefit from Iveco's customers in different countries, its production facilities and its range of vehicles.

After the deal, processes such as a change in Iveco's corporate structure, delisting from the stock market and changes related to the company's board could move forward. Separate conditions and approvals may apply to some later changes.

Shareholder approval is an important milestone, but it would be wrong to assume that Tata Motors' takeover of Iveco is complete. The conditions and related procedures needed for the final deal remain to be fulfilled.

The market is now watching how much the deal benefits Tata Motors' global expansion and how it changes the company's position in the commercial vehicle sector.
