Hindustan Coca-Cola Holdings has filed its draft red herring prospectus with SEBI for an IPO that is entirely an offer for sale by Hindustan Coca-Cola Overseas Holdings.

Hindustan Coca-Cola Holdings is preparing to list on the stock market. The company has submitted its draft red herring prospectus to SEBI, the first step towards entering the market. The price and date of the IPO have not yet been announced.

The company will not raise money by issuing fresh shares in this IPO. Hindustan Coca-Cola Overseas Holdings, which owns the company, will sell shares it holds, in what is called an offer for sale. A total of 99,74,61,456 shares, or nearly 99.75 crore shares, have been put up for sale. Each share has a face value of Rs 10. The issue will be through the book-building route, and the shares will be listed on both the BSE and the NSE.

The reservation is as follows: more than 50 per cent for qualified institutional buyers (QIBs), at least 15 per cent for NIIs and at least 35 per cent for retail investors.

By annual revenue, Hindustan Coca-Cola Holdings is the largest beverage company in India. It ranks first in ready-to-drink non-alcoholic beverages. In the quarter ended June 2026, the company's revenue was Rs 4,310.17 crore, up 20.46 per cent from a year earlier.

The company has a large network, with more than 17 lakh retail outlets and more than 2,273 distributors across the country. Coca-Cola products are available from small village stalls to large malls.

Several large IPOs are arriving in the market one after another. The Rs 30,200 crore IPO of Jio Platforms came recently and was the biggest IPO in the country so far. Jio listed at Rs 1,358, a premium of 21.36 per cent. The IPO drew more than 1.38 crore retail applications and the issue was subscribed 22.2 times. After this success, Indian investors appear ready for IPOs of large and trusted companies, and the timing of the Coca-Cola IPO is therefore considered right.

The IPO is part of Coca-Cola's global asset-light strategy, under which the parent company hands bottling and manufacturing to franchise partners and does not hold many assets itself. India is Coca-Cola's fifth-largest market in the world.

Kotak Mahindra, Citigroup, J.P. Morgan, Morgan Stanley and Axis Capital are the merchant bankers managing the IPO. The IPO is expected to bring a large amount of money into the Indian stock market. Investors are now watching for when the issue will open and what its price will be.
